FleetQore Terms of Service & Platform Agreement

These Terms of Service ("Agreement") constitute a legally binding contract between FleetQore ("FleetQore", "we", "us") and the commercial fleet operator, car rental enterprise, or corporate mobility provider ("Operator", "Client", "you") accessing or utilizing the FleetQore platform.

By executing a commercial subscription order, deploying our mobile applications, or accessing our branch operations consoles, the Operator agrees to abide by all provisions set forth herein. If you are entering into this Agreement on behalf of a corporation, partnership, or holding group, you warrant that you possess the requisite authority to bind that entity.

• Covers all licensed platform surfaces: Customer Booking Apps, Branch Dispatch Console, Driver Apps, and HQ Control Center
• Governs connected APIs, telematics ingestion pipelines, and integrated third-party payment connectors
• Supplements and incorporates specific commercial Order Forms and Service Level Agreements (SLAs) executed between parties

The Operator is responsible for maintaining the confidentiality of administrative credentials, dispatch logins, and API access keys issued under its organization tenant.

Operators must implement appropriate role-based permission tiers within their organization to prevent unauthorized overrides, rate modifications, or access to sensitive customer identification documents.

• Mandatory safeguarding of executive HQ credentials, dispatch logins, and driver app PIN codes
• Prompt notification to FleetQore of any suspected credential breach or unauthorized system access
• Operator responsibility for all actions and financial adjustments conducted under authorized staff credentials
• Right of FleetQore to suspend compromised credentials to protect platform integrity and tenant security

We maintain a strict separation between software intellectual property and customer business records. FleetQore retains all proprietary rights, copyright, patents, and trade secrets in our software codebase, algorithms, user interface designs, and technical documentation.

Conversely, the Operator retains absolute, exclusive proprietary ownership of all vehicle asset registers, customer identity records, historical rental transactions, rate card structures, and telematics telemetry streams processed through their deployment.

• FleetQore owns all platform software architecture, mobile app codebases, and proprietary routing algorithms
• The Operator owns 100% of all customer data, fleet records, telemetry logs, and financial transactions
• FleetQore is granted a strictly limited, non-exclusive license to process Operator data solely to fulfill service delivery
• Zero claim by FleetQore to customer goodwill, brand equity, or direct relationships established by the Operator

FleetQore commits to maintaining a monthly service availability percentage of 99.9% for all production branch dispatch, customer booking, and driver execution surfaces.

Scheduled maintenance windows requiring temporary downtime are communicated at least 72 hours in advance and executed during off-peak hours (typically 02:00–05:00 AST). Our enterprise engineering support rotation provides 24/7 coverage for critical operational incidents.

• 99.9% uptime Service Level Agreement (SLA) with tier-1 enterprise cloud redundancy
• 24/7 emergency incident response for critical severity-1 issues impacting dispatch or customer bookings
• Dedicated technical account management and priority queue support for enterprise holding groups
• Service credits applied to subsequent monthly billing cycles in the event of documented SLA breaches

FleetQore is priced predictably based on deployment scale, fleet capacity, and branch count as specified in the Operator’s commercial agreement. We do not penalize your business growth by charging percentage commissions on your rental revenue.

Invoicing is issued in local GCC currencies (SAR for Saudi Arabia, QAR for Qatar) with transparent payment schedules and zero hidden transaction levies.

• Zero percentage commission on customer bookings, driver fares, or rental transactions
• Invoicing in local currencies (SAR / QAR) fully compliant with statutory tax and VAT invoicing requirements
• Standard 30-day payment terms for enterprise corporate accounts from invoice issuance date
• Transparent add-on scoping for custom hardware integrations or dedicated bespoke modules

Operators agree to utilize the FleetQore platform solely for lawful commercial fleet management, vehicle rental, and mobility transportation operations in accordance with applicable national transport regulations.

Operators operating in Saudi Arabia warrant that their fleet operations comply with the mandates of the Transport General Authority (TGA). Operators in Qatar warrant compliance with the Ministry of Transport (MOT) regulations.

• Prohibition against reverse engineering, decompiling, or attempting to extract source code from platform binaries
• Prohibition against utilizing the platform for unlawful vehicle tracking without appropriate driver/renter authorization
• Compliance with regional commercial transport licenses, vehicle inspection standards, and driver labor laws
• Prohibition against automated scraping or stress-testing platform APIs without prior written authorization

Commercial subscriptions remain in effect for the term specified in the applicable Order Form (typically annual agreements with standard renewal provisions).

Upon contract termination, FleetQore guarantees an orderly transition period during which the Operator may export all customer records, active agreements, vehicle histories, and audit logs in standard open formats with zero proprietary lock-in.

• Standard 30-day written notification window prior to annual subscription renewal dates
• Immediate access to complete database exports (CSV, JSON, SQL dumps) during the 30-day transition window
• Certified permanent data destruction across all production databases following verified client handover
• Survival of confidentiality, intellectual property, and limitation of liability provisions following termination

This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the jurisdiction agreed upon in the commercial Order Form (typically the laws of the Kingdom of Saudi Arabia or the State of Qatar, depending on the Operator’s primary country of registration).

Parties agree to seek resolution of any commercial disputes through good-faith executive negotiation prior to initiating formal arbitration or judicial proceedings in the competent commercial courts of the governing jurisdiction.

• Commitment to 30-day structured executive mediation prior to formal litigation
• Severability of individual clauses without invalidating the remainder of this Agreement
